10. This Marketing Agreement will terminate instantly if You violate any of its conditions. Apple may cancel this Marketing Agreement at any time with a written notice of ten days. If Apple terminates this Marketing Agreement, You may, save in the case of an infringement claim against the Artwork, deplete existing inventory for a period of 30 days after the termination notification, provided that such inventory complies with the requirements of this Marketing Agreement. 11. Any litigation or other dispute resolution proceedings between You and Apple arising out of or relating to this Marketing Agreement will take place in the Northern District of California, and You and Apple hereby consent to the personal jurisdiction of and exclusive venue in the state and federal courts located in that District. This Marketing Agreement shall be governed and interpreted in accordance with the laws of the United States of America and the State of California, save for the body of California law governing conflicts of laws.
